TERMS OF SERVICE
 
Our terms are in accordance with the recognized and standard practices of the graphic design profession and provide the basis for a successful working relationship.

OUR COMMITMENT TO YOU

PROFESSIONAL STANDING

Designonomy reserves the right to refuse any project or part thereof connected with activities or practices which Designonomy may deem to be detrimental to the general public or to the environment.

 

USE OF WORK

The work carried out and materials created during the course of this project shall not be used for any purpose other than that which is set out in the agreement without prior approval of Designonomy. In no circumstances may work in rough form be used or published by the Client as finished work or be used as a basis for completion by others, without the prior written consent of Designonomy.

 

COPYRIGHT & OWNERSHIP

Designonomy is the first owner of all work or materials created during the course of each project. Copyright and other intellectual property rights, and all drawings, mockups, models, artwork, specifications, computer disks, electronic files, software documents and all other tangible materials, including preliminary concepts, accepted or rejected elements, works in progress, and finished materials which have been created or furnished by Designonomy during the course of this project shall remain the exclusive property of Designonomy unless otherwise specifically assigned in writing.

 

All services provided by Designonomy shall be for the exclusive use of the Client. Upon full payment of all fees and expenses, reproduction rights for all approved final designs created by Designonomy shall be granted.

 

Unless otherwise stated, Designonomy retains the moral rights to all work created in the course of each project. All intellectual property rights and materials shall remain the property of Designonomy, whether assigned or not, until all Designonomy’s invoices are paid in full. All original artwork/files and preliminary concepts created by Designonomy remains the property of Designonomy and may not be used by the Client without the written permission of Designonomy or payment for each piece of artwork.

 

Designonomy retains the right to use the completed project and any preliminary designs for the purpose of design competitions, future publications on design, educational purposes, marketing materials, on-line posting on Designonomy website and physical portfolio. Where applicable the Client will be given any necessary credit for usage of the project elements.

 

If the Client wishes to make additional use of the materials or ideas obtained therefrom, the Client agrees to seek permission from Designonomy and to make such further payments as are agreed to by both parties at that time. Rejected designs shall remain the exclusive property of Designonomy. Preliminary concepts and any unused artwork created by Designonomy may be repurposed and made available for sale. Designonomy retains all rights for use of the work or materials created in the course of this project in any new media or mediums which may emerge in the future.

 

Where copyright or other intellectual property rights are acquired by the Client, Designonomy shall, when requested, assist in the application for design and copyright registration. The costs of such assistance and action shall be borne solely by the Client.

 

Designonomy retains ownership of all working files. The purchase of working files by The Client may be negotiated prior to project commencement.

 

 

CONDITIONS OF ENGAGEMENT

Fee quotations and proposals are subject to amendment or withdrawal by Designonomy at any time prior to the signing of an agreement between the Client and Designonomy. A signed agreement or other written confirmation of contract is required prior to the start of the project.

 

BILLABLE CORRESPONDENCE

All communication (phone, email, fax, in person) with Designonomy regarding past and current projects is billable time according to our hourly rates. This includes outgoing communication required to complete/fulfill past and current project objectives. Billable correspondence is a standard rate in 15 minute increments for phone calls or emails that take more than 5 minutes to handle.

 

PAYMENT SCHEDULE^

Costs include art direction, design, layout and pre-press production.

 

  • First Payment: 50% NON-REFUNDABLE DEPOSIT is due upfront*

  • Final Payment: Due upon completion**

 

^Flexible Payment Arrangment available.

*50% non-refundable deposit of total cost must be made before start of project.

**Balance of design fees and production costs are due prior to releasing of final product.

Note: Additional concepts/color concepts may be charged at an hourly rate of $120.00.

PayPal, Cashier’s Check, Money Order, Cash or Visa Gift Card

 

CANCELLATION

In the event of cancellation of the project, ownership of all copyrights and the original artwork shall be returned to/and retained by Designonomy and a fee for work completed, based on the payment schedule/hourly rate and expenses already incurred, shall be paid by the client. All projects that the remain open with no updates or activity for 60 days or more are considered abandoned and will automatically be cancelled and no refund will be given.

 

Cancellation Fee:

In the event of termination, a cancellation fee of $0.00 shall be paid to Designonomy. In addition, all accrued project hours will be billed at the hourly rate.

 

PRODUCTION SCHEDULE/DELIVERY OF PROJECT

The client will assume any printing, hosting, binding, shipping or insurance costs related to the project. Any alteration or deviation from the above specifications involving extra costs will be executed only upon approval with the client. Designonomy shall not incur any liability or penalty for delays in the completion of the project due to actions or negligence of client, unusual transportation delays, unforeseen illness, or external forces beyond the control of Designonomy. If such event(s) occur, it shall entitle Designonomy to extend the completion/delivery date, by the time equivalent to the period of such delay.

 

PROOFING OF FINAL PROJECT

Prepress and Proofing prior to final production is highly recommended.Designonomy shall make every effort to ensure the final product is free of any grammatical and spelling errors, before giving the final product to the client. It is agreed that it is the client’s responsibility to ensure that there are no spelling or grammatical errors contained in the final product. The Client assumes all risks and costs that may attributed to any error in workmanship, content, grammar, spelling, post approval and/or acceptance of the final product and files.

 

In order for the job to be delivered (to client, printing press, bindery, or ”have it go live” in the world wide web), aside from agreed payment schedule, client must provide consent to Designonomy, stating the project is “OK As Is” for final production/delivery. If the client fails to provide consent, Designonomy holds the right to stop/hold the project no matter what its previously agreed/set deadline or schedule. It is agreed that Designonomy is not responsible or held liable for any errors contained in the final product after the final product has been committed/approved by the client to print or posted in view of the public.

 

Designonomy's policies and procedures can be changed or updated at any time without prior notice.
